Learning unit contents
The course aims to provide HEC students with basic legal knowledge. It is composed of three parts - public law, private law and corporate law - respectively taught by Mr. Christophe DEPREZ, Mrs. Arianne SALVÉ and Mr. Laurent STAS DE RICHELLE.
Learning outcomes of the learning unit
Strategy :
The course will allow students to understand the political and societal context of a complex situation, thanks to a better understanding of the legal system and of public institutions.
The course will allow students to understand the legal constraints of a complex situation.
The course will allow students to demonstrate scientific precision and a critical mind in the analysis of a complex situation.
Implementation :
The course will train students to analyze their managerial practice with a critical and ethical mind when confronted with a complex situation, by taking into account the legal constraints and consequences of their decisions.
Quality and Performance Control :
The course will allow students to plan and implement the performance and quality control in a company, an organization or a project, by measuring the compatibility of the decisions with the law.
Communication :
The course will allow students to communicate efficiently, internally and externally, about a company, organization or project, by including legal aspects in their position.
Adaptability :
The course will allow students to adapt their managerial practice to the needs of a fast-evolving world, notably to the evolution of the law,
- being conscious of societal, economic, political and environmental issues
- showing curiosity and a scientific precision of academic level
Prerequisite knowledge and skills
There are no special prerequisites, aside from a strong command of French and meticulous use of concepts.
Planned learning activities and teaching methods
The pedagogy adopted aims to promote the course participants' regular personal work during the year and to improve their performance while reducing their efforts during exam periods. It therefore requires active participation throughout the year, strong motivation and an expected attendance in class.
Thus, course participants will be invited to work on each subject before the corresponding class. To do this, they are informed in advance of the objectives and the various supports that will already be available for each important part of the material. In particular, course materials shall be made available in advance (as far as practicable, in particular in the light of current events or the most recent legislative changes).
Specific information and pedagogical advice are provided for the preparation of courses and exams.
Communication with the participants takes place in class and through Lol@.

Students are encouraged to obtain the constitutional and legislative provisions that are discussed in all three parts of the course.
To this end, students can either buy one or more appropriate codes (recommendations will be made by professors) or collect the updated texts on the Internet in order to build a collection for themselves to print.
To the extent specified below ("assessment methods"), these documents may be used during the examination.
For the "private law" part, a fill-in-the-gaps syllabus will be provided in several parts. Students are invited to fill in the syllabus with examples seen in class. For the same "private law" part, ex cathedra lectures will be further supplemented by wooclap and podcasts.
For the "public law" part, a handbook may be purchased by students. This handbook goes beyond the content of lectures and is not a mandatory resource. However, it is recommended to read it as the book allows for a check of the understanding of the course and provides additional examples and (optional) further analysis of certain aspects of the subject.
For the "corporate law" part, a syllabus will be made available to students. This syllabus contains only the theory. The application and examples of it will be given during the course.

The examination will be held in person unless the health regulations in force on the day of the examination require remote examination.
In all cases, the evaluation methods are those listed below.
The exam is written in the first and second sessions and covers ALL THREE parts of the course. The exam lasts two hours.
It is organized as a multiple-choice examination (+1 in case of correct answer; -0.5 in case of incorrect answer; 0 in case of abstention). The weight, in the examination, of each part of the course is proportional to the number of hours given to each part:
- 15 questions concern the "public law" part;
- 30 questions concern the "private law" part;
- 15 questions concern the "corporate law" part.
Throughout the examination, students may have access to the code and legislation used in all three parts of the course. All documents brought to the examination must be BOUND: single sheets are prohibited. Students may underline or highlight words in these documents, but they may not write ANY annotation. Cross-references to articles are also not allowed. Post-it notes can be used in these documents, but as simple "bookmarks": no words can be written on them. Possession, during the examination, of documents other than those authorized by professors is strictly prohibited.
The assessment focuses on the knowledge of the rules of law as taught in the oral course (memorize - restore).
